Terms of Service

IMPORTANT: These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PolyStop ("Company," "we," "us," or "our"). By accessing or using the PolyStop platform at polystop.app (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Service.

1. Definitions

"Service" refers to the PolyStop web application, APIs, and all related tools, features, and functionalities provided at polystop.app and its subdomains.

"User Credentials" refers to any private keys, API keys, API secrets, API passphrases, wallet addresses, or other authentication materials provided by the User for the purpose of enabling automated trading functionality.

"Stop-Loss Order" refers to an automated instruction configured by the User to execute a sell transaction on a third-party prediction market platform when specified price conditions are met.

"Third-Party Platform" refers to Polymarket and its associated CLOB (Central Limit Order Book) API infrastructure. PolyStop is an independent third-party tool and is not affiliated with, endorsed by, sponsored by, or in any way officially connected with Polymarket.

"Subscription" refers to a recurring paid plan that grants the User access to premium features of the Service, billed on a monthly basis through our designated payment processor.

2. Eligibility

2.1. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to use the Service.

2.2. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement and that your use of the Service does not violate any applicable law, regulation, or third-party agreement to which you are subject.

2.3. You are solely responsible for ensuring that your use of the Service, including participation in prediction markets, complies with all applicable laws and regulations in your jurisdiction. The Service is not available in jurisdictions where prediction market trading is prohibited.

3. Description of Service

3.1. PolyStop provides the following functionalities: (a) position tracking and profit/loss monitoring for prediction market holdings; (b) configurable price alerts with delivery via email and/or WhatsApp; (c) automated stop-loss order execution via the Third-Party Platform's API; and (d) market browsing and screening tools.

3.2. The Service operates by interfacing with the Third-Party Platform's publicly available APIs. We do not operate, control, or maintain the Third-Party Platform, nor do we have any influence over its availability, pricing, liquidity, or order execution mechanics.

3.3. The Service is provided on a best-effort basis. We do not guarantee continuous, uninterrupted, or error-free operation of any feature, including but not limited to stop-loss order execution, price monitoring, and alert delivery.

4. User Credentials & Security

4.1. To enable automated stop-loss execution, the User may optionally provide User Credentials, including a private key associated with a wallet on the Polygon blockchain. The User acknowledges that provision of User Credentials is entirely voluntary and at the User's sole risk.

4.2. All User Credentials are encrypted at rest using AES-256-GCM (Advanced Encryption Standard, 256-bit key, Galois/Counter Mode) with a server-managed encryption key. Credentials are decrypted only at the time of stop-loss order execution and are not stored in plaintext at any point.

4.3. Notwithstanding the security measures described in Section 4.2, the User acknowledges and agrees that: (a) no encryption or security measure is infallible; (b) the Company cannot guarantee that unauthorized third parties will never be able to access User Credentials; and (c) the User assumes all risk associated with providing User Credentials to the Service.

4.4. The User is strongly advised to: (a) use a dedicated wallet containing only funds the User can afford to lose; (b) not reuse the same private key across multiple services; and (c) revoke or rotate API credentials periodically.

4.5. The Company shall not be liable for any loss, theft, or unauthorized use of User Credentials, whether resulting from a breach of the Service, compromise of the server-side encryption key, or any other cause whatsoever.

5. Disclaimer of Financial Advice

5.1. The Service does not constitute, and shall not be construed as, financial advice, investment advice, trading advice, or any other form of professional advice. The Company is not a registered broker-dealer, investment adviser, financial planner, or fiduciary.

5.2. All trading decisions, including the decision to set stop-loss parameters, entry and exit prices, and position sizes, are made solely by the User. The Company bears no responsibility for the outcome of any trade or position.

5.3. Prediction markets involve substantial risk of loss. Prices can move rapidly and unpredictably. Past performance of any market, position, or strategy is not indicative of future results. You should not trade with funds you cannot afford to lose entirely.

6. Stop-Loss Execution & Limitations

6.1. Stop-loss orders are monitored through two mechanisms: (a) client-side price polling at approximately five (5) second intervals when the User has the Service open in a browser; and (b) server-side periodic checks executed via scheduled cron jobs.

6.2. The Company expressly disclaims any guarantee that a stop-loss order will be executed at the specified price, or that it will be executed at all. Circumstances that may prevent or delay execution include, but are not limited to:

  • Downtime, rate-limiting, or API changes on the Third-Party Platform;
  • Insufficient market liquidity to fill the order at or near the stop price;
  • Price gaps or rapid market movements ("slippage") causing execution at a materially different price;
  • Server outages, network failures, or infrastructure disruptions affecting the Service;
  • Invalid, revoked, or expired User Credentials;
  • The User not having the Service open in a browser (client-side monitoring only operates during active sessions).

6.3. Stop-loss orders are executed as Fill-or-Kill (FOK) market orders on the Third-Party Platform. In the event that a FOK order cannot be filled in its entirety, the order will not be partially executed and the position will remain open.

6.4. The Company shall not be liable for any losses, damages, or missed opportunities resulting from the failure, delay, or partial execution of any stop-loss order.

7. Subscription & Payment Terms

7.1. The Service offers a free tier and a paid subscription tier ("Pro"). The free tier provides limited access to alerting features. The Pro tier provides access to all features, including position tracking and automated stop-loss execution.

7.2. Subscriptions are processed through Lemon Squeezy, a third-party payment processor. By subscribing, you also agree to Lemon Squeezy's terms of service and privacy policy.

7.3. Subscriptions are billed on a recurring monthly basis. You may cancel your subscription at any time; upon cancellation, access to Pro features will continue until the end of the current billing period.

7.4. The Company reserves the right to modify subscription pricing at any time. Price changes will not affect active billing periods but will apply upon the next renewal. Users will be notified of price changes at least fourteen (14) days in advance.

7.5. Refund requests are evaluated on a case-by-case basis at the Company's sole discretion. The Company is not obligated to provide refunds for any reason, including but not limited to dissatisfaction with the Service, failure of stop-loss execution, or partial use of a billing period.

8. Intellectual Property

8.1. All content, code, design, trademarks, logos, and other intellectual property associated with the Service are the exclusive property of the Company or its licensors and are protected by applicable intellectual property laws.

8.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

9. Privacy & Data Collection

9.1. The Service collects the following categories of personal data: (a) email address, for the purposes of account authentication and alert delivery; (b) WhatsApp number (if provided), for the purpose of alert delivery; (c) encrypted wallet credentials (if provided), for the purpose of automated order execution; and (d) anonymous usage analytics via Vercel Analytics.

9.2. The Company does not sell, rent, or share personal data with third parties for marketing purposes. Data may be shared with third-party service providers (including Vercel, Neon, Resend, Twilio, and Lemon Squeezy) solely as necessary to operate the Service.

9.3. The User may request deletion of their account and all associated data by contacting support@polystop.app. Upon account deletion, all stored credentials will be permanently destroyed.

9.4. The Service uses cookies and local storage solely for session management and theme preferences. No third-party tracking cookies are used.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF FUNDS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

10.3. THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your provision of User Credentials to the Service.

12. Termination

12.1. The Company reserves the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, at its sole discretion.

12.2. Upon termination: (a) your license to use the Service immediately ceases; (b) all stored User Credentials will be permanently deleted; and (c) you will not be entitled to any refund of prepaid subscription fees.

12.3. Sections 4, 5, 6, 10, 11, and 13 shall survive any termination of these Terms.

13. Governing Law & Dispute Resolution

13.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by a mutually agreed-upon arbitration body, conducted in the English language.

13.3. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.

14. Modifications to Terms

14.1. The Company reserves the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service at least fourteen (14) days before they take effect.

14.2. Your continued use of the Service following the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with any documents incorporated by reference herein, constitute the entire agreement between you and the Company with respect to the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
